"It's unfortunate that out-of-state third-party entities are seeking to manipulate our North Dakota businesses and nonprofits into thinking they need to pay additional fees to remain in good standing with the State. Filing with the Office of the Secretary of State is quick and easy to do online, and we are always more than happy to assist and encourage folks to reach out to us if they need help."
To maintain their registration status, businesses and nonprofits must file annual reports. This process can be completed through the North Dakota Secretary of State’s online FirstStop Portal. The report involves updating various details, including business activities and stakeholder information.
The letters from third parties claim a longer processing time for filings, suggesting a need for organizations to allow several weeks for submission. However, reports filed directly with the North Dakota Secretary of State are typically processed upon receipt.
Deadline specifics and filing fees vary by organization type. Nonprofits pay $10, cooperatives pay $20, and corporations and partnerships subject to filing requirements pay $25. Limited Liability Companies (LLCs) are charged $50. Third-party services reportedly charge fees exceeding $90.
